Company Registration Hong Kong: The Practical Guide for Founders
Hong Kong attracts founders who trade with Asia for straightforward reasons: a single corporate structure handles suppliers in Shenzhen, buyers in Tokyo and invoices in multiple currencies. Before you commit, you need the actual numbers and the actual obligations — not a sales pitch. This article covers both, drawn entirely from what Harbour Incorporate can document.
What Kind of Company Are You Registering?
The standard vehicle for a founder entering Hong Kong is a private limited company. Share capital can be set at HKD 1 — there is no minimum paid-up capital requirement that would block a lean start. The company is a separate legal person, so liability sits with the entity rather than with you personally, within the limits the law sets.
Two local requirements come with every Hong Kong company from day one:
- A local registered address — this is the address that appears on the public register and on your articles.
- A company secretary — a statutory role that must be filled by a Hong Kong resident or a locally incorporated entity.
Neither is optional. If you do not supply them yourself, a service provider must cover them.
How Long Does Company Registration in Hong Kong Take?
The typical formation window is 2 to 4 weeks, counted from the date payment is received and all required documents are complete. That clock does not start until your file is in order, so preparing your documents in parallel with placing the order saves real time.
What Documents Does the Registry Require?
The incorporation process involves more paperwork than many founders expect. For each director, shareholder and beneficial owner you will need:
- Passport and proof of residential address
- Tax residence details and tax identification number
- Evidence of the source of funds contributed to the capital
For the company itself, you will need to provide:
- Three proposed company names (availability is checked before filing)
- A precise description of activities, countries of operation and target customers
- Capital breakdown: number of shares, total amount and identity of the signatories
A notarised power of representation is also required. The notarisation session is held by video, so you do not need to travel; a valid identity document is sufficient for the session. If any shareholder is itself a company, a full KYC file for that entity — extract, articles, registers and UBO chart — is required in addition.
Profits Tax: The Numbers You Actually Need
Hong Kong taxes profits that arise in Hong Kong. The rate is 8.25 % on the first HKD 2 million of assessable profits and 16.5 % on everything above that threshold. Those two rates are the only ones in the dossier; any other figure you may have read elsewhere is not confirmed here.
Profits earned outside Hong Kong can be exempt from this tax — but the exemption is never automatic. You must file a claim with the tax office and support it with evidence. Whether the claim succeeds depends on the facts you can demonstrate, not on the structure alone. Harbour Incorporate can prepare and coordinate the filing; the decision rests with the authority.
Annual Obligations: What Running the Company Costs
Registration is a one-time event. Running a Hong Kong company generates recurring obligations every year:
- Audited accounts — mandatory annually, not optional for small companies.
- Profits tax return — filed with the Inland Revenue Department each year.
- Registered office and company secretary — both must remain in place continuously.
These are not soft requirements. A company that lets its registered address or secretary lapse is in breach of the Companies Ordinance.
Pricing: What Each Service Costs
Harbour Incorporate structures the engagement as distinct, combinable services. Here are the figures from the dossier:
- Company formation — €1,912 excluding VAT, official fees included. One-off. Covers name check, drafting of articles and incorporation documents, filing and delivery of the complete company file.
- Registered office (Level 1) — €799 excluding VAT for the first period, then €799 a year. Covers the official address on the register and receipt of official mail.
- Bank account opening — €2,152 excluding VAT. One-off. Covers preparation of the account-opening file, introduction to institutions and handling of compliance questions. Opening is subject to the bank's decision.
- Accounting, returns and audit — €3,512 excluding VAT for the first year, then €3,512 a year. Covers bookkeeping, periodic returns, annual accounts and coordination of the mandatory audit.
Opening a Bank Account in Hong Kong
This is the step that surprises founders most. Banks in Hong Kong conduct a detailed review of the business before opening any account. The review covers your business model, the countries you trade with, expected transaction volumes, the currencies you use and the source of your funds. Timelines for account opening run from 4 to 26 weeks after the company is registered — a wide range that reflects how differently banks assess different profiles.
No service provider can promise that a bank will accept your application. What Harbour Incorporate does is review your profile, prepare the file and introduce you to institutions whose risk appetite fits your situation. The decision belongs to the bank.
Who Is This Structure For?
Based on the dossier, a Hong Kong company is a practical fit for three types of founder:
- Traders sourcing from or selling into Asia — the structure puts your legal entity close to your suppliers and customers.
- Founders who want local compliance handled professionally — company secretary and audit are covered by the service packages rather than requiring you to build local capacity yourself.
- Businesses that invoice in several currencies — Hong Kong banking infrastructure handles multi-currency flows routinely.
What the Dossier Does Not Cover
A few questions that founders commonly ask are not answered in the information available to us. We do not have figures for government filing fees broken out separately, for the cost of a company secretary as a standalone service, or for the processing times at the Companies Registry beyond the overall 2–4 week window. If those details matter to your decision, ask directly before placing an order.
Next Step
If the structure fits your situation, the process starts with gathering your documents — passport, proof of address, source of funds, three name proposals and a description of your activity. Harbour Incorporate reviews the project, checks name availability and handles filing once the file is complete. The timeline starts from that point.
